RapidReady Command — Effective October 12, 2026 · Version 2026-10-12
This summary helps you read the Terms. It is not a substitute for them; the full Terms below are what apply.
These Terms of Service (the "Terms") are an agreement between RapidReady Dispatch ("RapidReady," "we") and the company or other organization that signs up for or uses RapidReady Command (the "Customer," "you," or "your"). "Us" and "our" also mean RapidReady. If RapidReady has formed a business entity, these Terms are with that entity.
RapidReady Command is our cloud software for private security companies: scheduling, dispatch, GPS clock-in and patrol, incident reports, SOS and panic alerts, client portal, invoicing, AI advisors and related features (the "Service").
"Users" are the people you allow to use the Service under your account: owners, managers, office staff, dispatchers, supervisors, officers, and your clients' portal users. You are responsible for your Users' use of the Service.
These Terms include, by reference, our Acceptable Use Policy, Privacy Policy, Text Message Terms and Data Processing Addendum. The order of precedence is set out in section 25. Where these Terms conflict with our general Disclaimer page, these Terms control.
The Service is for businesses. You may not use it as a consumer, for personal, family or household purposes.
You accept these Terms by ticking the box at sign-up, by accepting them in the app, or by using the Service. The person who accepts confirms that they are at least 18 and have authority to bind the Customer to these Terms. If they do not have that authority, or do not agree, they must not accept and must not use the Service.
We keep a record of each acceptance (who accepted, the versions accepted, the time, and a one-way hash of the network address used).
New companies may use the Service free for 30 days without a payment card. The trial ends automatically at the end of that period, and you are not charged anything unless you choose a paid plan. One trial is allowed per company. Opening more than one trial — for example with different emails, company names or aliases — is not allowed, and we may close or merge duplicate trials. Some features, AI usage and capacity may be limited during a trial.
When the trial ends, the owner is asked to choose a paid plan. Your data is kept, and field and safety screens (clock-in, patrol, incident reports and SOS) keep working while office screens wait for a plan. The Service is provided during the trial "as is," without any commitment of availability or support, and we may end a trial at any time.
Fees are non-refundable, except where the law requires a refund or as stated in this section.
You own your data. "Customer Data" means the information you and your Users put into the Service — for example schedules, timesheets, clock and location records, incident reports, post orders, contracts, client records, invoices, files and photos. As between you and us, you own Customer Data.
What we may do with it. You give us a limited license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Service for you, to prevent abuse, and as the law requires. We do not sell Customer Data, and we do not use your contracts, rates, client information, site addresses, post orders or officer personal information to train third-party AI models.
Aggregated, de-identified data. As described in our Privacy Policy, we may derive aggregated, anonymized operational patterns from use of the Service after personal information, customer identifiers, locations, rates, contacts, access codes and other sensitive details are removed, and use them to improve recommendations for all customers. They contain no customer attribution, we own them, and we use them only as the Privacy Policy allows.
Your responsibilities. You are responsible for the accuracy and legality of Customer Data and for having the rights, notices and consents needed for us to process it — including for your employees, officers, clients and members of the public whose information appears in reports. You are the employer of your Users and decide what data is collected about them; we process it on your behalf. You are responsible for keeping your own copies of Customer Data you need.
Security. We use reasonable administrative, technical and physical safeguards described in our Privacy Policy and on our Security page. No system is completely secure.
Data Processing Addendum. The Data Processing Addendum at /dpa forms part of these Terms. It sets out how we process personal information in Customer Data as your service provider and processor (including under the CCPA and the GDPR), our security measures and our subprocessors.
You and your Users must follow our Acceptable Use Policy, which is part of these Terms. It covers, among other things, lawful location tracking, no stalking or harassment, no spam, no false emergency alerts, no security testing without permission, and fair use of AI features.
Except as these Terms expressly allow, you will not, and will not let anyone else:
"Confidential Information" means non-public information one party shares with the other that is marked confidential or that a reasonable person would understand to be confidential. Our Confidential Information includes the non-public parts of the Service: its software, knowledge content, playbooks, prompts, scoring methods, product plans, pricing not published on our website, and security information. Your Confidential Information includes your Customer Data.
Each party will use the other's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with its employees, contractors and advisers who need to know it and are bound by similar confidentiality duties. These duties do not cover information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from someone else without a duty of confidence. A party may disclose Confidential Information when the law requires, after giving the other party reasonable notice where allowed. These duties continue after these Terms end, and for trade secrets for as long as they remain trade secrets.
We and our licensors own the Service and everything in it other than Customer Data, including all software, content, knowledge bases, playbooks, scoring methods, designs, trademarks, aggregated de-identified data and improvements, and all related intellectual property rights. Subject to these Terms and payment of fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right during your subscription for your Users to use the Service for your internal business operations. All rights not expressly granted are reserved.
Feedback. If you or your Users send us suggestions, ideas or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it for any purpose without obligation to you. Feedback does not include Customer Data.
SOS, panic, lone-worker, missed check-in and escalation features are tools to help your team notify each other. They depend on things outside our control — the officer's phone, battery, app permissions and settings, location services, mobile and internet networks, carriers and messaging providers, hosting providers, recipients' phones and their consent to receive texts and calls — and alerts can be delayed, fail to send, or fail to reach someone. Location shown in an alert may be inaccurate.
You are responsible for your own emergency procedures, staffing, supervision, monitoring of alerts, training, and backup ways to reach help. You must test the features you rely on, regularly, and maintain backup procedures that work without the Service. Do not rely on the Service as the only way to protect life or property. See also our Safety Disclaimer.
The Service can send text messages and place calls (for example safety alerts, shift notices and sign-in codes) to the people you add. You are responsible for getting and keeping any consent the law requires before messages or calls are sent to your officers, staff, clients and other contacts, including under the Telephone Consumer Protection Act (TCPA) and similar state laws, and for honoring opt-outs. Do not enter a phone number you are not authorized to use. We do not guarantee that any text, call or email will be delivered, or delivered on time.
Our in-app opt-in and the program terms are described in our Text Message Terms. People can reply STOP to opt out at any time. Consent to receive texts must not be made a condition of employment.
GPS clock-in, patrol and lone-worker features record the location of the device being used. You may use them only to track your own workforce for lawful employment purposes, during working time, and with any notice, consent or policy the law requires in the places you operate. You are responsible for that notice and consent and for your workplace monitoring policies. Location data has accuracy limits and should not be the only evidence for discipline or legal proceedings.
Some features use artificial intelligence to draft text, answer questions, summarize records or suggest actions. AI output can be incomplete, out of date or simply wrong, even when it sounds confident. AI output is not legal, HR, employment, payroll, tax, licensing or safety advice, and it does not replace a licensed professional.
Review and verify AI output before relying on it or sharing it, especially for pay, scheduling, discipline, compliance, client commitments and safety decisions. You are responsible for decisions you make with it. AI features are subject to fair-use limits described in the Acceptable Use Policy and on your plan.
You remain responsible for running your security business lawfully, including: security company and officer licensing and registration; guard card, firearm and training requirements; wage-and-hour, overtime, meal and rest break, and pay-stub laws; payroll, payroll tax and worker classification; record keeping; use-of-force and detention policies; client contract obligations; and privacy and employee-monitoring laws. Compliance tools, reminders, calculators and reports in the Service are aids, not guarantees, and do not make the Service your legal, payroll or licensing provider. Payroll exports and calculations must be checked by you before paying anyone.
The Service relies on third-party providers, including Base44 (hosting, database, sign-in, file storage, AI features and platform email), Twilio (texts and calls), our payment processor (currently Wix Payments), and others listed in our Privacy Policy. Integrations you choose to connect, such as QuickBooks or Microsoft sign-in, are governed by their providers' own terms. We are not responsible for services we do not control, and an outage at a provider may affect the Service. Where you connect your own provider account (for example your own Twilio account), you are responsible for that account and its charges.
Immediate suspension or termination. We may suspend or terminate all or part of your access immediately, on notice by email or in the app, if: you or a User breaches the Acceptable Use Policy; you or a User breaches section 9 (including competitive use, scraping, reverse engineering, account sharing or multiple trials); fees are unpaid when due; your use creates a security risk or threatens the availability or integrity of the Service or harms others; or suspension or termination is required by law. Where reasonable, we will limit a suspension to what is needed. A suspension for unpaid fees affects office screens only; it does not switch off field and safety screens while your account remains open.
Termination by you. You may stop using the Service and cancel at any time as described in section 6.
Termination for breach. Either party may end these Terms by written notice if the other materially breaches them and does not fix the breach within 30 days of notice.
Termination for convenience. We may end the Service, or these Terms, for any reason on 30 days' notice, with the pro-rata refund described in section 6.
Survival. Sections 6 (refunds), 7 (responsibilities and aggregated data), 9, 10, 11, 12, 15, 16, and 19 through 25, any unpaid fees, and any other terms that by their nature should survive, survive termination.
When your subscription ends, your account is suspended and access closes. For 30 days afterward, your owner may export your Customer Data, or ask us to restore read-only access or provide an export in a standard format. After those 30 days we have no obligation to keep your Customer Data or to provide it, and we may delete it within a reasonable time as described in our Privacy Policy, except copies in backups (until they expire in the normal course), records we must keep by law, records under a legal hold, and the security audit trail.
You may also ask us to delete your Customer Data; we answer deletion requests within 45 days, as our Privacy Policy says, subject to the same exceptions. We will not keep using your customer-specific information to serve other customers after your subscription ends. Aggregated, de-identified data described in section 7 is not reversible to you and is not deleted.
To the maximum extent permitted by law, the Service, AI output and all content are provided "as is" and "as available," with all faults, and we disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not guarantee any level of uptime or availability, or that the Service will be uninterrupted, error-free or secure, or that alerts, texts, calls, emails or location data will be delivered, delivered on time, or be accurate.
Nothing in the Service is legal, HR, payroll, tax, licensing or safety advice. Compliance with payroll, overtime, labor and employment law, and security guard licensing, remains your responsibility (section 16).
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or savings, loss or corruption of data, or cost of substitute services, even if advised of the possibility; and (b) RapidReady's total liability arising out of or relating to these Terms or the Service will not exceed the greater of (i) the total fees you paid to RapidReady for the Service in the 12 months before the event giving rise to the claim, or (ii) USD $100.
These limits apply whatever the legal theory, whether contract, tort (including negligence), strict liability or otherwise, and even if a remedy fails of its essential purpose. They do not limit liability for fraud or wilful misconduct, or any other liability that cannot be limited by law. Part (a) does not limit your payment obligations, your indemnity obligations, or your liability for breach of section 9 or the Acceptable Use Policy. The fees reflect this allocation of risk.
(a) By you. You will defend, indemnify and hold harmless RapidReady and its owners, officers, employees and contractors against all third-party claims, and pay resulting damages, losses, fines, penalties, settlements, costs and reasonable attorneys' fees, arising from or relating to: Customer Data; your or your Users' use of the Service; your employees, officers, contractors and clients, and your personnel's conduct in the field; emergency response decisions made by you or your personnel; your failure to obtain consent or give notice for texts, calls or location tracking (including under the TCPA); your compliance with wage-and-hour, labor, employment, payroll and licensing laws; or any breach of these Terms, the Acceptable Use Policy or the law by you or your Users.
(b) No indemnity by RapidReady. RapidReady does not give any indemnity to you under these Terms.
(c) Process. We will tell you promptly about a claim (a delay reduces your obligations only to the extent it harms your defense), let you control the defense, and give reasonable cooperation at your cost. You may not settle a claim in a way that imposes an admission, obligation or restriction on RapidReady without our written consent. We may take part with our own counsel at our own cost.
Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting arbitration or any court case, the party with the dispute must send the other a written notice describing it (to us at nick@rapidreadycommand.com; to you at your account email). The parties will then negotiate in good faith for 30 days to try to resolve it.
Binding individual arbitration. Any dispute not resolved within those 30 days will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before one arbitrator. The seat of arbitration is California, in the county where RapidReady has its principal place of business. For claims under USD $25,000, the arbitration may be conducted remotely or on documents only. Each party bears its own fees and costs, except as the AAA rules provide or the arbitrator awards. The arbitrator may award relief only to the individual party seeking it and only to the extent needed for that party's individual claim. Judgment on the award may be entered in any court with jurisdiction.
Class action and jury trial waiver: each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding. Each party waives any right to a jury trial.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek an injunction or other equitable relief in court to stop misuse of its intellectual property or confidential information, or unauthorized access to the Service. For these exceptions, and to enforce an arbitration award, the state and federal courts located in the California county where RapidReady has its principal place of business have exclusive jurisdiction and venue, and both parties consent to them.
Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.
If the class waiver fails. If the class action waiver is found unenforceable for a particular claim, that claim must proceed in court as described in "Exceptions" above, not in class arbitration, and the rest of this section still applies to all other claims. A court, not an arbitrator, decides whether the class action waiver is enforceable.
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app before they take effect, and we may require your company owner to accept the updated version in the app before continuing to use office screens. Changes required by law or for security may take effect sooner. If you do not agree to a change, you may cancel before it takes effect; continued use of the Service after the effective date means you accept the change. The effective date and version at the top of this page show the current version.
